Innolife Technologies
Terms of Service
Last updated September 16, 2026 · Effective date to be confirmed
These Terms describe use of Zengulate, an educational platform developed by Innolife Technologies ("Innolife," "we," "us," or "our"). The effective date and outstanding contractual provisions must be confirmed before these Terms are relied on as a finalized agreement. An individual cannot bind an institution unless appropriately authorized.
1. About Zengulate
Zengulate provides educational tools for observing behavior, responding with ICARE, teaching RISE replacement skills, practicing skills, documenting observations, Check-In/Check-Out (CICO), monitoring progress and preparing authorized reports. Features may change during pilot development and subsequent updates.
2. Eligibility and authorized users
Educator accounts are intended for authorized adults. Student-facing features, when enabled, are accessible only through an authorized school- or educator-managed process. Individuals may not represent or bind a school or district without appropriate authority.
3. Accounts and security
Users must protect credentials and are responsible for activity under their accounts to the extent permitted by law. Teacher accounts must not be shared with unauthorized individuals. Class codes, student aliases and PINs must be distributed appropriately. Suspected compromise or unauthorized access should be reported promptly.
4. School and educator responsibilities
Schools and educators must obtain required institutional approval, provide only information they are authorized to process, follow applicable privacy and district rules, verify report recipients, and review behavioral and instructional suggestions before acting. They must follow applicable student plans, school safety procedures, and professional obligations. Use aliases or initials when appropriate and avoid unnecessary sensitive details.
5. Educational use and limitations
Zengulate supports educational decision-making but does not replace official school records, district special education systems, individualized education programs (IEPs), functional behavior assessments, behavior intervention plans, or required procedures. It does not determine diagnoses, disability status, eligibility, disciplinary consequences, or placement. Those decisions remain with authorized professionals and institutions.
6. Safety and emergencies
Zengulate is not an emergency response service and does not provide medical, psychological, or legal services. In an emergency or safety incident, follow applicable school protocols, individual plans and emergency procedures. Software suggestions must not override immediate safety requirements.
7. AI-assisted features
AI may help draft teaching scripts, support ideas, summaries and other material. Outputs can be incomplete, inaccurate or inappropriate for a particular student. Educators must review them and must not rely on AI alone for safety, diagnosis, discipline, eligibility, placement, or other high-stakes decisions. Do not provide student information to AI tools without authorization.
8. Student information and FERPA
Only authorized users may access educational records. Users must not access another educator's or institution's records without permission. School-authorized student data must be processed within applicable legal and contractual limitations. Where FERPA applies, school control, legitimate educational interest and use/redisclosure restrictions must be satisfied; an online Terms page alone does not establish those conditions. See the separate Privacy Policy.
9. Children's privacy
Student participation must be authorized and managed appropriately. Where COPPA applies, Innolife Technologies retains responsibility for its operator obligations. Schools may provide consent on parents' behalf only in circumstances permitted by law for the school's educational benefit, not unrelated commercial purposes.
10. Acceptable use
Users must not unlawfully disclose student data, access records without authorization, share teacher credentials, bypass security measures, impersonate others, upload malicious material, scrape restricted data, harass or discriminate, submit content they do not have rights to use, fabricate observations or assessments using AI, or otherwise use the service unlawfully. Security or misuse incidents may lead to reasonable protective action subject to applicable agreements and laws.
11. User content and student records
Users and their institutions retain applicable rights in submitted educational records and original materials. An authorized user permits Innolife Technologies to process submitted information only as necessary to provide requested features and perform applicable agreements. Uploading content does not grant unrestricted ownership of student or school records. Users must hold required rights and authorizations for what they submit.
12. Intellectual property
Zengulate software, original interface designs, branding, and proprietary platform materials belong to Innolife Technologies or applicable licensors. Access grants no ownership of the software. Educational materials generated or submitted through the service remain subject to applicable user, institutional, and third-party rights.
13. Third-party services
External infrastructure and other providers may support platform functions. Availability, data handling and applicable third-party conditions may affect certain features. Relevant provider disclosures must be verified in the Privacy Policy and applicable agreements.
14. Pilot access and subscriptions
Zengulate may offer pilots, trials, educator subscriptions and school or district plans. Pilot participation does not guarantee indefinite feature access. Before a paid subscription is activated, pricing, billing frequency, renewals, cancellation terms and any trial conversion must be presented at purchase or specified in a controlling institutional agreement. Merely requesting a pilot or viewing planned pricing does not authorize a charge.
15. Availability and changes
We work to maintain service but cannot promise uninterrupted or error-free access. Features may be maintained, corrected, modified, suspended or discontinued, subject to applicable institutional commitments and notice requirements.
16. Suspension and termination
Access may be restricted for material violations, security risks, unlawful use or other circumstances permitted by applicable agreements and law. Authorized users or institutions may request closure through the support channel. Records following termination are handled according to applicable law, the Privacy Policy, and the school agreement.
17. Disclaimers
Zengulate provides educational software and assistive information, not clinical assessment, medical or mental-health treatment, legal advice, or emergency response. Nothing in these Terms removes protections or obligations that cannot lawfully be excluded. Any further warranty disclaimer requires legal review before finalization.
18. Limitation of liability
Attorney-approved liability limitations and exceptions must be completed before these draft Terms become final. Applicable law and any controlling school or district agreement will govern.
19. Governing law and disputes
The verified legal entity, governing jurisdiction and any dispute-resolution provisions must be added following legal review. A separately executed school or district agreement may control.
20. Changes to Terms
Revisions will carry an updated date. Material changes will be communicated where required by law or the controlling agreement.
